Does River Capital provide investment advice?

No. River Capital is an investment manager and therefore does not provide any investment advice. Should you require financial advice, please speak to your financial planner.

What are the costs of investing in the River Capital Growth Fund?      

River Capital charges a 2 per cent management fee per annum. This is the base fee for River Capital's investment management services. The fee is charged to the Fund monthly based on the Fund's net asset value.

In addition to the management fee, River Capital is entitled to a performance incentive ("Performance Fee") calculated at the rate of 15 per cent of the increase in the net asset value of each issued unit during a financial year, subject to the investor receiving a preferred return of 10% on that unit. The Performace Fee is calculated annually and is subject to a "high water mark" restriction.

The Performance Fee applies to individual unit holders. Accordingly, this fee is not treated as an expense of the Fund but a cost to each unit holder. The Performance Fee is normally deducted from an investors annual distribution entitlement.

What is a ''High Water Mark'' restriction?         

Once a Performance Fee has been paid on an issued unit, no further performance fee is payable by an investor on that issued unit unless the net asset value of that unit continues to increase above the highest previous level upon which a performance fee has been paid. This is referred to as a "high water mark" restriction.

Who can invest with River Capital?

To invest with River Capital you must be classified as a wholesale investor for the purposes of the Corporations Act 2001.

This is because River Capital is not licensed to operate funds other than those that do not require registration pursuant to the Corporations Act 2001. The River Capital Growth fund is an unregistered scheme, however, interests in the scheme are listed as 'financial products' for the purposes of the Corporations Act.

What is the structure of the River Capital Growth Fund?

The River Capital Growth Fund (the "Fund") is an unregistered managed investment scheme that was established pursuant to a Constitution dated 22 October 2001 (the "Constitution").

The Constitution has been prepared so that if the investors consider it appropriate or if the law requires it, the Fund can become a registered fund ("Registered Fund") with minimal change to the Constitution.

At that time the trustee (called Responsible Entity in the Constitution) will need to become licensed to operate registered funds or be replaced.

Currently River Capital holds a Financial Services License which entitles it to, amongst other things, operate managed investment schemes that do not require registration. While the Fund remains unregistered, the level of reporting and amount of information about the Fund on the public record is significantly less than if the Fund were a registered fund.

What is a wholesale investor? 

A wholesale investor is defined in section 761G of the Corporations Act 2001.

The requirements of the definition are:

- If the value of the interests that an investor applies for is equal to or exceeds $AU500,000, the investor will be regarded as a wholesale investor

- If the investor provides a certificate from a qualified accountant that is dated not more than six months ago stating that the investor has net assets of at least $2.5 million or had a gross income for each of the last two financial years of at least $250,000 per annum, the investor will be regarded as a wholesale investor

- If the investor is a "professional investor" as defined in section 9 of the Corporations Act 2001, the investor will be regarded as a wholesale investor
